General Terms and Conditions of Sale and Use

1. About Us

The company CHRYSALEAD MARTINIQUE (trade name MON BUSINESS PARTNER), a single-member limited liability company (EURL) with a share capital of €1,000, whose registered office is located at 60 rue François 1er, 75008 Paris, France, registered with the Paris Trade and Companies Register under number 805 330 958 00036, represented by Ms. Valérie CLAIRICIA, Founder and Managing Director (hereinafter referred to as the “Company”).

Mon Business Partner is a strategic and operational consulting firm specializing in supporting French and international entrepreneurs and companies wishing to establish, structure, or finance their business activities in France.

The Company notably provides the following services:

  • Turnkey solutions for business creation and structuring in France

  • “Done For You” strategic support

  • Premium business coaching and performance management

  • Financial engineering and fundraising

  • Training programs for business creation and development

2. Preamble

The Company invites Users to carefully read these General Terms and Conditions of Sale and Use (hereinafter referred to as the “GTC/GU”).
The GTC/GU apply to all Services provided by the Company to Clients within the same category, regardless of any clauses that may appear in the Client’s documents, including their general purchasing conditions.

The GTC/GU are systematically made available to any Client who requests them.
The Client is required to read the GTC/GU before placing any Order.

In the event of subsequent amendments to the GTC/GU, the Client shall be bound by the version in force at the time the Order is placed.
Data recorded in the Company’s information systems constitutes proof of transactions concluded with the Client.

3. Definitions

  • Client: any natural or legal person who places an Order on this Website

  • Order: any order placed by a registered User on this Website in order to benefit from the Company’s Services

  • General Terms and Conditions of Sale and Use or GTC/GU: these general online terms and conditions

  • Consumer: a natural person acting for purposes outside their professional activity

  • Professional: a natural or legal person acting within the scope of their professional activity

  • Services: all services offered to Users by the Company through the Website

  • Website: the website cabinetconseilchrysalead.com

  • Company: CHRYSALEAD MARTINIQUE, as defined above

  • User: any person using the Website

4. Registration

Registration on the Website is open to all legal entities and natural persons of legal age with full legal capacity.
Access to the Services offered on the Website is subject to User registration.

Registration is free of charge.
To register, the User must complete all mandatory fields; failing this, registration cannot be completed.

Users declare and guarantee that all information provided, particularly at the time of registration, is accurate and truthful. They undertake to update their personal information via their account.

Each registered User has a personal username and password, which are strictly confidential. Any disclosure to third parties may result in account deletion.
Each User is solely responsible for maintaining the confidentiality of their login credentials. The Company shall not be held liable for identity theft.

If fraud is suspected, the User must contact the Company immediately so that appropriate measures may be taken.

Each User may hold only one account. In the event of breach of the GTC/GU—particularly the creation of multiple accounts or provision of false information—the Company reserves the right to suspend or permanently delete the User’s accounts.

Account deletion results in the permanent loss of all acquired benefits and Services.
However, any Orders placed and invoiced prior to deletion shall be performed under normal conditions.

In the event of account deletion due to breach of obligations, the User is strictly prohibited from re-registering without the Company’s express authorization.

5. Services and Pricing

The Services governed by these GTC/GU are those listed on the Website and offered directly by the Company or its partner providers.

Services are described on the relevant pages of the Website, including their essential characteristics. The Company cannot be held liable if a Service cannot be delivered due to User ineligibility.

Prices displayed are in euros, inclusive of all taxes (VAT), and reflect applicable discounts on the day of the Order. Additional costs, where applicable, are indicated prior to Order confirmation.

The Company reserves the right to modify prices at any time and undertakes to invoice Services at the rate applicable at the time of the Order.
Where prices cannot be determined in advance, a detailed quotation will be provided.

No User may claim discounts no longer valid on the day of the Order.

6. Orders

Orders may only be placed by registered Users.
Once logged in, the User may add Services to their virtual cart and confirm the Order by clicking “Order”.

The User must then provide their address, delivery method, and valid payment method to finalize the contract.

Order validation occurs once the User accepts the GTC/GU by checking the designated box and confirms the Order. This constitutes proof of contract formation.

Order confirmation is sent by email and includes a summary of the Order and service details.

In the event of payment failure, incorrect address, or account issues, the Company reserves the right to suspend the Order until resolution.
If a Service cannot be delivered, the Client will be informed by email and reimbursed accordingly.

If an accepted Order is canceled less than 20 days before the scheduled service date (excluding force majeure), the Company reserves the right to retain 10% of the order amount (excluding VAT) as compensation.

7. Payment Terms

Unless otherwise stated, payment is due in full at the time of Order placement.
Depending on the nature or amount of the Order, the Company may require a deposit or full payment.

Accepted payment methods:

  • Bank transfer

  • Cash

  • Credit card

Late payments by Professional Clients will incur penalties based on the ECB refinancing rate plus 10 percentage points, as well as a fixed recovery fee of €40.
Late payments by Consumers will incur penalties at the legal interest rate.

The Company reserves the right to suspend or cancel sales in the event of non-payment.

8. Performance of Services

Services are performed by the Company.
The Company undertakes to use all reasonable means to deliver Services within the agreed timeframe but cannot be held liable for delays beyond its control.

If Services are not delivered within the agreed timeframe, the Client may request contract termination under Articles L216-2 and L216-3 of the French Consumer Code.

9. Complaints

Clients have 20 days from service delivery to submit a complaint by email to:

Complaints must include supporting documentation.
Non-compliant complaints will not be accepted.

10. Consumer Right of Withdrawal

Consumers have a 14-day withdrawal period, except for cases listed under Article L221-28 of the French Consumer Code.
Refunds are processed within 14 days, using the original payment method, subject to deductions for services already performed.

11. Personal Data Processing

Personal data is processed in accordance with GDPR Regulation (EU) 2016/679.

12. Data Sharing

The Website may use third-party providers strictly for operational purposes.
Users may opt out of marketing communications at any time.

13. Data Protection

The Company implements appropriate security measures but does not guarantee absolute data security.

14. Cookies

Users may manage cookies through browser settings.

15. Amendments

The Company reserves the right to amend the Website, Services, and GTC/GU at any time.
The version in force at the time of Order applies.

16. Liability

The Company shall not be liable for temporary or permanent Website unavailability or delays beyond its control.

17. Intellectual Property

All trademarks, logos, and graphic elements are the exclusive property of the Company.
Any unauthorized use may result in civil and criminal proceedings.

18. Jurisdiction

These GTC/GU are governed by French law.
Disputes shall first be subject to amicable resolution before being referred to competent courts.

19. Pre-Contractual Information

Prior to placing an Order, the Client acknowledges receipt of all mandatory information required by Articles L111-1 to L111-7 of the French Consumer Code.

Effective date: November 1, 2023

By using the Website or placing an Order, the User acknowledges having read, understood, and accepted these General Terms and Conditions in full.
